Terms of Service

These Terms of Service ("Terms") govern your access to and use of VNDR, a TCG inventory and transaction management platform operated by TCG VNDR LLC ("Company," "we," "our," or "us"). By creating an account or using VNDR, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use VNDR.

1. Description of Service

VNDR is a web application designed for trading card game (TCG) vendors to manage inventory, log buy/sell/trade transactions, track show sessions, and view market pricing data. The platform supports Pokémon, One Piece, and Magic: The Gathering cards, sealed products, and graded slabs.

2. Account Registration

To use VNDR, you must sign in with a Google account. You are responsible for maintaining the security of your Google account and for all activity that occurs under your VNDR account.

You must be at least 13 years of age to create an account. By using VNDR, you represent that you meet this requirement.

You may not create accounts for the purpose of violating these Terms or any applicable law.

3. Subscriptions and Payment

VNDR may offer paid subscription plans with additional features. If you subscribe to a paid plan:

• Payment is processed securely through Stripe. We do not store your payment card details.
• Subscriptions renew automatically at the end of each billing period unless cancelled.
• You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of the current billing period.
• Refunds are handled on a case-by-case basis. Contact us at the address below for refund requests.
• We reserve the right to change subscription pricing with 30 days' notice. Price changes apply at the next billing cycle after the notice period.

4. Acceptable Use

You agree to use VNDR only for its intended purpose: managing your TCG vendor business. You may not:

• Use VNDR for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to VNDR's systems, other users' accounts, or data you are not authorized to access
• Interfere with or disrupt the service, servers, or networks connected to VNDR
• Use automated scripts, bots, or scrapers to access VNDR or extract data without our written permission
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
• Upload malicious code, viruses, or harmful content

5. Data Restrictions

Data provided through VNDR — including but not limited to market pricing, card information, and transaction analytics — is provided for your personal business use only. You may not:

• Resell, redistribute, or sublicense any data obtained through VNDR to third parties
• Scrape, harvest, or bulk-export pricing data or card information for use in competing services or products
• Use VNDR's API (if made available) in a manner that exceeds reasonable usage limits or in a way that degrades service for other users
• Reverse-engineer VNDR's pricing algorithms, data pipelines, or proprietary systems

Exporting your own transaction and inventory data (e.g., via CSV export) for your personal records is always permitted.

6. API Abuse

VNDR employs rate limiting and other protective measures. You agree not to:

• Circumvent, bypass, or disable rate limiting or security measures
• Make excessive API calls or requests designed to overload the service
• Use multiple accounts to evade usage restrictions
• Share API keys, tokens, or session credentials with unauthorized third parties

We reserve the right to throttle, suspend, or terminate accounts that engage in API abuse without prior notice.

7. Intellectual Property

VNDR and its original content, features, and functionality are owned by TCG VNDR LLC and are protected by copyright, trademark, and other intellectual property laws.

Card names, images, set names, and related trademarks belong to their respective owners (The Pokémon Company, Bandai, Wizards of the Coast / Hasbro). VNDR is not affiliated with, endorsed by, or sponsored by any of these companies.

Market pricing data is sourced from third-party providers and is subject to their respective terms of use.

8. Your Content and Data

You retain ownership of all data you enter into VNDR (inventory items, transactions, notes, session records). We do not claim ownership of your content.

By using VNDR, you grant us a limited license to store, process, and display your data solely for the purpose of providing the service to you.

You may delete your data at any time through the Settings page. Account deletion permanently removes all your data from our systems. See our Privacy Policy for details on data retention and deletion.

9. Tax and Financial Responsibility

VNDR is a business management tool — not an accounting, tax, or legal service. You are solely responsible for:

• Accurately reporting all income, expenses, and transactions to the appropriate tax authorities
• Maintaining your own financial records and documentation for tax purposes
• Complying with all applicable federal, state, and local tax laws and regulations
• Collecting and remitting sales tax where required by law

While VNDR provides tools to track transactions and export data (such as CSV reports), these reports are provided for your convenience and do not constitute financial statements, tax documents, or professional advice. We make no guarantees about the completeness or accuracy of exported data for tax reporting purposes.

We strongly recommend consulting with a qualified accountant or tax professional for guidance on your tax obligations.

10. Disclaimers

VNDR is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee:

• That market pricing data is accurate, complete, or current
• That the service will be uninterrupted, secure, or error-free
• That any errors or defects will be corrected

Market pricing data is provided for reference only and should not be the sole basis for business decisions. Always verify prices independently before completing transactions.

11. Limitation of Liability

To the maximum extent permitted by law, TCG VNDR LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use VNDR
• Inaccurate pricing or market data
• Unauthorized access to or alteration of your data
• Any third-party conduct on the service
• Any other matter relating to VNDR

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or $50, whichever is greater.

12. Termination

We may suspend or terminate your access to VNDR at any time, with or without cause, with or without notice. Reasons for termination include, but are not limited to:

• Violation of these Terms
• API abuse or excessive usage
• Fraudulent or illegal activity
• Non-payment of subscription fees

You may terminate your account at any time by deleting your account from the Settings page. Upon termination, your right to use VNDR ceases immediately.

13. Indemnification

You agree to indemnify, defend, and hold harmless TCG VNDR LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of VNDR
• Your violation of these Terms
• Your violation of any applicable law or regulation, including tax laws
• Any content or data you submit to VNDR
• Your business activities conducted using VNDR, including sales, purchases, and trades

14. Dispute Resolution

Before filing any formal legal action, you agree to first contact us at support@tcgvndr.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

If the dispute cannot be resolved informally, you agree that it will be resolved through binding arbitration on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration. The arbitration will be conducted under the rules of the American Arbitration Association (AAA).

Either party may bring a claim in small claims court as an alternative to arbitration, provided the claim falls within the court's jurisdictional limits.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of VNDR shall be resolved in accordance with applicable law.

16. General Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TCG VNDR LLC regarding your use of VNDR and supersede all prior agreements, understandings, and communications, whether written or oral.

Waiver

The failure of TCG VNDR LLC to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by TCG VNDR LLC.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms, in whole or in part, at any time without notice — for example, in connection with a merger, acquisition, or sale of assets.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you through the app. Continued use of VNDR after changes constitutes acceptance of the updated Terms.
